These Terms & Conditions ("Terms") govern your access to and use of our website https://www.neuera.in and all services provided by Neuera Software. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Services Overview

Neuera Software (Udyam Registration: UDYAM-UK-06-0078960), a Micro Enterprise registered in Haridwar, Uttarakhand, provides professional digital services including but not limited to:

UI/UX Design
Web App Development

Bug Fixes & Debugging
Search Engine Optimization (SEO)
Computer Programming
Web-page Designing
Computer Facilities Management
Software Support & Maintenance

The scope, deliverables, and timeline of each engagement will be defined in a separate project proposal or service agreement.

2. User Obligations & Responsibilities

By using our website or engaging our services, you agree to:

  • Provide accurate and complete information when requested
  • Use our services only for lawful purposes and in compliance with applicable laws
  • Not reproduce, duplicate, copy, sell, or exploit any portion of our website without express written permission
  • Not interfere with or disrupt the integrity or performance of our website or services
  • Provide timely feedback, content, and approvals necessary for project completion
  • Maintain confidentiality of any login credentials or access provided during the engagement

3. Intellectual Property Rights

All content on this website—including but not limited to text, graphics, logos, code, design elements, and software—is the intellectual property of Neuera Software and is protected under applicable copyright and intellectual property laws.

Upon full payment for a project, ownership of the final deliverables (as defined in the project agreement) will be transferred to the client. However, Neuera Software retains the right to use anonymized project work in its portfolio and marketing materials unless otherwise agreed in writing.

Any proprietary frameworks, tools, libraries, or reusable code components developed by Neuera Software remain the exclusive property of Neuera Software.

4. Payment Terms

Payment terms for all services are as follows:

  • All fees are quoted in Indian Rupees (INR) unless otherwise specified
  • A non-refundable advance payment (as specified in the project proposal) is required before work commences
  • Payments can be made via Paytm Payment Gateway, UPI, bank transfer (NEFT/RTGS/IMPS), or other payment methods as agreed upon
  • Milestone-based payments may apply for larger projects, as outlined in the project agreement
  • Invoices are due within 7 days of issuance unless otherwise agreed
  • Late payments may attract an interest charge of 1.5% per month on the outstanding amount
  • Applicable taxes (GST, etc.) will be charged as per prevailing Indian tax laws

All online transactions are processed securely through trusted payment gateways including Paytm. We do not store your payment card details on our servers. Refunds, if applicable, will be processed as per the terms outlined in the individual project agreement.

5. Project Delivery & Timelines

Estimated timelines for project delivery will be communicated in the project proposal. While Neuera Software strives to meet all deadlines, actual delivery dates may vary based on:

  • Timely provision of content, assets, and feedback by the client
  • Changes in project scope or additional requirements
  • Technical complexities discovered during development
  • Force majeure events beyond our reasonable control

Delays caused by the client in providing required materials or approvals shall not be the responsibility of Neuera Software, and may result in revised timelines.

6. Limitation of Liability

To the maximum extent permitted by law, Neuera Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from:

  • Use or inability to use our website or services
  • Unauthorized access to or alteration of your data
  • Any third-party content, products, or services accessed through our website
  • Service interruptions, downtime, or technical failures

Our total cumulative liability for any claims arising from or relating to these Terms or our services shall not exceed the total amount paid by you to Neuera Software in the twelve (12) months preceding the claim.

7. Termination & Suspension

Either party may terminate a service engagement by providing written notice as per the terms of the project agreement. In the event of termination:

  • The client shall pay for all work completed up to the date of termination
  • Advance payments are non-refundable unless otherwise specified in the project agreement
  • Neuera Software will deliver all completed work and materials to the client upon settlement of outstanding payments

Neuera Software reserves the right to suspend or terminate access to its website or services if you violate these Terms or engage in any fraudulent, abusive, or unlawful activity.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Haridwar, Uttarakhand, India.

9. Changes to These Terms

Neuera Software reserves the right to update or modify these Terms at any time without prior notice. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
