Terms & Conditions
Please read these Terms and Conditions carefully before using neuera.in or engaging our services. These terms govern the relationship between you and Neuera Software.
1. Acceptance of Terms
By accessing or using the website at neuera.in, requesting a quotation, or engaging Neuera Software for any service, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.
These Terms constitute a legally binding agreement between you ("Client", "you") and Neuera Software ("Neuera", "we", "us"), a Micro Enterprise registered under the MSME Development Act, 2006, Udyam Registration No. UDYAM-UK-06-XXX.
2. Services
Neuera Software provides the following services:
Custom web application development (Next.js, React, Node.js)
SaaS product development and architecture
Headless CMS integration (Sanity, Strapi, WordPress, Contentful)
Technical SEO audits and implementation
UI/UX design and prototyping
API and backend development
Agency white-label development services
All services are subject to a separate written project agreement, scope of work (SOW), or service contract, which will take precedence over these general Terms in case of any conflict.
3. Project Engagement & Scope
Scope of Work: Each project begins with a mutually agreed scope document. Any work outside the agreed scope ("scope creep") will be quoted separately before execution.
Change Requests: Changes to project scope must be submitted in writing. We reserve the right to adjust timelines and pricing for approved change requests.
Client Responsibilities: The client is responsible for:
Providing accurate briefs, assets, and content in a timely manner
Appointing a single point of contact with decision-making authority
Reviewing and approving deliverables within the agreed timeline
Providing necessary access to systems, hosting, or third-party platforms
Delays caused by late client responses may result in revised delivery timelines without penalty to Neuera Software.
4. Payment Terms
Payment Schedule: Unless otherwise agreed in writing:
50% advance payment is required before project commencement
Remaining 50% is due upon project completion, before final handover
Invoicing: Invoices are issued digitally and are due within 7 calendar days of issuance.
Late Payment: Overdue invoices beyond 14 days will attract a late payment charge of 2% per month on the outstanding balance.
Currency: All pricing is in Indian Rupees (INR) unless explicitly stated otherwise.
Taxes: All prices are exclusive of applicable taxes (GST). GST will be charged as per prevailing government rates where applicable.

5. Intellectual Property
Client IP: Upon receipt of full payment, all custom code, designs, and deliverables created specifically for the client's project are assigned to the client.
Neuera IP: The following remain the intellectual property of Neuera Software:
Proprietary tools, frameworks, and internal utilities used during development
Pre-existing components, libraries, and codebases not custom-built for the client
Any work product created before formal project engagement
Portfolio Rights: Unless the client requests in writing, Neuera Software reserves the right to display completed work in our portfolio, case studies, and marketing materials.
Third-Party Licences: The client is responsible for obtaining and maintaining any third-party software licences required for their project (e.g., CMS licences, font licences, stock assets).
6. Confidentiality
Both parties agree to keep confidential any proprietary information, business data, trade secrets, or non-public information shared during the engagement. This obligation survives project completion.
Neuera Software will not disclose your business data to any third party except as required to deliver the agreed services (e.g., hosting providers, database services) or as required by law.
7. Warranties & Disclaimers
Our Warranty: We warrant that services will be performed with reasonable skill and care, and that deliverables will substantially conform to the agreed specifications for 30 days post-delivery ("warranty period"). During this period, we will fix defects at no additional charge.
Exclusions: The warranty does not cover:
Issues arising from client modifications after handover
Third-party service outages (hosting, APIs, payment gateways)
Browser or OS compatibility issues not specified in the scope
General Disclaimer: The website and its content are provided "as is" without warranties of any kind beyond those expressly stated. We do not guarantee that the website will be error-free or uninterrupted.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
Neuera Software's total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific project.
We are not liable for indirect, incidental, consequential, or special damages, including loss of revenue, loss of data, or loss of business opportunity.
We are not liable for delays or failures resulting from circumstances beyond our reasonable control (force majeure), including natural disasters, government actions, or third-party service failures.
9. Termination
Either party may terminate a project engagement with 14 days' written notice.
Upon termination:
The client is liable for payment for all work completed up to the termination date
Neuera Software will deliver all completed work product upon receipt of outstanding payments
Prepaid amounts for work not commenced may be refunded at our discretion (see Refund Policy)
We reserve the right to immediately terminate engagements if the client breaches these Terms or engages in unlawful conduct.
10. Governing Law & Disputes
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Uttarakhand, India.

11. General Provisions
Entire Agreement: These Terms, together with any executed project agreement or SOW, constitute the entire agreement between the parties.
Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
No Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.
Amendments: We may update these Terms periodically. Continued use of our services after updates constitutes acceptance. Material changes will be communicated via email.
